General Terms and Conditions of Sale and Service

Definitions

  • “Seller” means Plastoplan Polymers Ltd and/or any Hromatka Group company.
  • “Buyer” means any company, entity, or individual ordering goods and/or services from the Seller.
  • “Goods” means any product and/or services provided by the Seller.

Application

  • These terms apply to all sales unless expressly agreed in writing. Buyer’s own terms are excluded.

Orders & Acceptance

  • Orders are subject to availability and written confirmation. No binding contract exists until accepted by the Seller.

Prices & Payment

  • Prices exclude VAT and delivery unless stated.
  • The price indicated on the order is considered to be the price agreed between the Buyer and the Seller.
  • Payment terms are no later than 30 days from the date of invoice unless otherwise agreed in writing.
  • Late payments may incur interest at 8% above the Bank of England base rate.

Delivery

  • Delivery times are estimates only. The Seller will do its utmost to respect delivery time.
  • Risk passes on delivery to the Buyer or Buyer’s designated point of delivery.
  • Title passes only upon full payment.
  • Seller is not liable for delivery delays beyond its control.

Warranty

  • The Seller warrants that goods will conform to agreed specifications.
  • This warranty does not apply if:
    a) goods are improperly stored, handled, or used;
    b) Buyer alters the goods without consent;
    c) issues arise from normal wear or external contamination.
  • The Seller’s liability is limited to replacement or refund at its discretion.
  • Seller does not accept claims for consequential loss.

Storage Conditions

  • The Buyer is responsible for storing goods in accordance with any specifications provided.
  • Polymers should be kept in a dry, ventilated area, away from direct sunlight, excessive heat, or moisture.
  • Improper storage may void the warranty.

Damages and Returns

  • All discrepancies and/or damages should be noted at the time of delivery and no later than 72 hours following delivery. Any notification after this period will be deemed invalid and not accepted.
  • Returns are only accepted with prior written approval. Returned goods must be unused and in original packaging.

Force Majeure

  • The Seller is not liable for failure or delay due to circumstances beyond its reasonable control.

Liability

  • Nothing in these terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Data Protection

  • The Seller shall process any personal data in compliance with applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

Governing Law

These terms are governed by the laws of England and Wales. All disputes shall be subject to the exclusive jurisdiction of the English courts.
